Client requests and Coach agrees to provide coaching services according to the terms below. Client agrees to abide by all policies and procedures as outlined in this Agreement as a condition of their participation in the coaching program.  In order to understand and clarify the services and relationship, Client and Coach acknowledge and agree that:

1.  Confidentiality.  Coach acknowledges that she may obtain confidential personal and/or business information from Client and agrees to keep and maintain such information confidential and not to disclose or use such information without Client’s prior written consent.

2. Proprietary Information. Client acknowledges that Coach retains all proprietary rights, including property and intellectual property rights, in and to all videos, instruction manuals, assessments, handouts, outlines, databases, and other materials provided to Client relating to the trial offers, coaching sessions or Coaching Programs. Under no circumstances is Client permitted to share any of this proprietary information with third parties. Client acknowledges that it will not edit, alter, or otherwise modify any aspect of proprietary information provided by Coach.
